ENEFTRO, WEBSITE, AND SERVICES, AS DEFINED BELOW, ARE NOT AVAILABLE TO PERSONS RESIDING, HAVING THEIR REGISTERED OFFICE, INCORPORATED OR OTHERWISE DOMICILED OR LOCATED IN THE TERRITORY OF THE UNITED STATES AND CANADA ("EXCLUDED COUNTRIES") AS WELL AS OTHER JURISDICTIONS, COUNTRIES, AND TERRITORIES WHERE, AS DETERMINED AT OUR SOLE DISCRETION, ACCESS TO AND USE OF OUR SERVICES IS RESTRICTED, PROHIBITED OR SUBJECT TO REGULATORY RESTRICTIONS ("RESTRICTED TERRITORIES"). THE USE OF VIRTUAL PRIVATE NETWORKS (VPNs) FOR THE PURPOSE OF CIRCUMVENTING RESTRICTIONS SET FORTH BY THESE TERMS IS STRICTLY PROHIBITED.
These Terms of Service (the "Terms") apply as a contract between the User (also referred to as "you", "your" or "yours") and EVOMINTER LTD, a private limited company incorporated in British Virgin Islands ("BVI") with company number 2185395 and whose registered office address is at P.O.Box 3159, Road Town, Tortola, British Virgin Islands (referred to as "ENEFTRO", "we", "our", "ours" or "us").
Before engaging with our Services, you should read these Terms carefully and in full. You understand and agree that by creating an Account and using our Services, you agree to be bound by these Terms and other applicable agreements between you and us.
The availability of our Services depends upon several factors that determine your eligibility to engage with them. To be considered eligible to use and engage with our Services, you must affirm that:
Users may register and access the Platform by either connecting a compatible Web3 wallet (MetaMask or WalletConnect), or utilizing a passwordless authentication method (Magic Link). At the point of registration, Users shall be required to provide their full name, email address, and country of residence, and shall further be required to confirm that they are at least eighteen (18) years of age.
We retain the right to suspend, restrict, or terminate your access to our Services at our sole discretion under various circumstances, including but not limited to:
KYC/AML verification on the Platform is required only in specific circumstances and is not conducted directly by the Platform. All such procedures are performed by MoonPay, a regulated third-party payment service provider responsible for processing fiat transactions.
We allow Users to use the Platform and its features for purposes that include participating in curated utility-based projects, accessing and redeeming NFTs/Tokenized services, interacting with creators, founders, and other Users, and engaging with opportunities made available through NFTs or similar digital assets ("Utility NFTs").
ENEFTRO supports the issuance and use of NFTs as digital access tools that enable participation in real-world services and opportunities:
At present, our Platform accepts cryptocurrency deposits only, specifically USDC, ETH, and MATIC. Users may deposit cryptocurrencies directly via supported crypto wallets. Deposits involving fiat currencies are not accepted; however, Users may convert fiat to cryptocurrency through the integrated third-party service provider MoonPay.
Due to the non-custodial nature of the ENEFTRO platform, no internal accounts or balances are maintained from which withdrawals may be made. All assets remain at all times in the User's own crypto wallet and are not held by the Platform.
Unless otherwise expressly communicated by the Platform, Users are required to bear any and all fees associated with their use of the Services at the time of the relevant transaction. Fees applied by the Platform are calculated on a percentage basis relative to the transaction amount.
The following actions and omissions are strictly prohibited in relation to your access to and use of our Services:
Any and all events of our indemnification, warranty, limitations of losses, and limitations of liability, shall be excluded to the fullest extent permitted by applicable law. Our Services, Wallet, Website, and any other aspect of the Services are provided to you on an "as is" and "as available" basis, without any warranties, whether express, implied, or statutory.
To the fullest extent permitted by applicable law, you hereby undertake to indemnify and hold us, along with any of our partners, affiliates, service providers, officers, directors, employees, representatives, and other affiliated parties harmless from any and all claims, actions, causes of action, costs, demands, obligations, expenses, injuries, judgments, losses, suits, damages, fees arising from your use of the Services.
We collect, use, and share your personal information in accordance with our obligations and legal requirements laid down by applicable law. Please refer to our Privacy Policy for details on our data collection, usage, storage, sharing, and transfer practices.
ENEFTRO shall retain all intellectual property rights in regard to the Services, the Website, and other relevant materials and content. You are granted a limited, personal, non-commercial license to use materials and content protected by intellectual property rights solely in connection with your use of our Services.
Any dispute, controversy, or claim arising out of or in connection with these Terms, including any disputes regarding its existence, validity, breach, or termination, shall be finally settled by arbitration under the British Virgin Islands International Arbitration Centre ("BVIIAC"). The seat of arbitration shall be Tortola, BVI.
By agreeing to these Terms, you expressly and irrevocably waive any right to a trial by court. There shall be no class arbitration, consolidated arbitration, or arbitration in which an individual attempts to resolve a dispute as a representative of another individual or group.
We shall not be liable for any performance failures, events of downtime, interruptions, unavailability of our Services, as well as other malfunctions and delays resulting from any event or cause occurring regardless of our forecasting and beyond our direct and indirect control ("Force Majeure").
Your access to and utilization of our Services is entirely your own responsibility, undertaken at your own risk. The risk associated with engaging in cryptocurrencies is high. You must be aware of the potential for complete and irreversible loss of your financial assets.

Irrespective of your location, these Terms and the relationship between you and us shall be governed by the laws of BVI.
The original language of these Terms is English. In case of any discrepancies or inconsistencies with other language versions, the English language version shall prevail.
We reserve the right to make changes and amendments to these Terms. You will be notified of any such alterations via email and on our Website, with a minimum one-month notice period prior to their implementation.
